1. Acceptance of these terms

By creating an account, funding a wallet, or otherwise using EquityZenX (the "Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform.

These terms form a binding agreement between you and EquityZenX. Please read them together with our Privacy Policy and Risk Disclosure.

2. Eligibility & your account

You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. Access may be restricted in certain countries.

You agree to provide accurate information and to complete identity verification (KYC) when required. You are responsible for keeping your login credentials secure and for all activity under your account. One account per person; accounts are not transferable.

3. The service

EquityZenX provides access to reserve interest in pre-IPO, privately held companies. A reservation is an indication of interest and is not a completed purchase. Reservations are subject to review, eligibility, availability, allocation limits, and final confirmation, and may be declined or reduced.

Company information, valuations, and figures shown are indicative, may come from third-party sources, and can change without notice. Nothing on the Platform is an offer or solicitation where such an offer is unlawful.

4. Wallet, deposits & withdrawals

Your wallet holds balances used to reserve investments. Deposits are funded by transferring USDT to the address shown for your transaction; only send the asset and network specified. Crypto transfers are generally irreversible — you are responsible for sending to the correct address.

Withdrawals to an external address are reviewed by our team before funds are released. We may delay, hold, or decline transactions to comply with law, prevent fraud, or enforce these terms.

5. Referrals & bonuses

If you refer someone and they complete their first qualifying deposit, you may receive a promotional bonus. Bonus funds are invest-only, are not withdrawable as cash, and are subject to a lifetime cap and program rules that we may change or end at any time.

Bonuses obtained through abuse, fake accounts, or self-referral may be withheld or reversed.

6. Acceptable use

You agree not to use the Platform for any unlawful purpose, including fraud, money laundering, or sanctions evasion; not to attempt to access other users' data or our systems without authorization; and not to scrape, copy, or resell Platform content. We may suspend access for suspected violations.

7. Intellectual property

The Platform, its software, and its branding are owned by EquityZenX or its licensors. Company names and logos shown on the Platform are the property of their respective owners and are used to identify the relevant company; their use does not imply any endorsement, sponsorship, or affiliation.

8. No investment, legal, or tax advice

The Platform is for informational purposes only and does not provide investment, legal, accounting, or tax advice. You are solely responsible for your decisions. Consider seeking independent professional advice before investing.

9. Disclaimers & limitation of liability

The Platform is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, EquityZenX is not liable for any indirect, incidental, or consequential losses, or for losses arising from your investment decisions.

10. Suspension, termination & changes

We may suspend or close accounts, and may modify, suspend, or discontinue features, at our discretion. We may update these terms from time to time; continued use after an update means you accept the revised terms.

11. Governing law & contact

These terms are governed by the laws of the jurisdiction in which EquityZenX operates, without regard to conflict-of-law rules. Questions about these terms can be sent via the About page.
